Acceptance and authority

By accessing or using the website or client platform, you agree to these Terms of Use and the Privacy Policy. If you use the services for an organization, you represent that you are authorized to act for that organization. Do not use the services if you do not agree to these terms.

Relationship to customer agreements

Advisory engagements, software projects, subscriptions, licensing, support, confidentiality obligations, and data processing terms may be governed by a proposal, statement of work, subscription agreement, license, or other signed agreement. That agreement controls if it conflicts with these website terms.

Accounts and access

  • Provide accurate account information and keep credentials confidential.
  • Use only accounts and organization data you are authorized to access.
  • Notify EdgePoint Strategy promptly if you suspect unauthorized access.
  • You are responsible for activity performed through your account unless prohibited by law.

Acceptable use

You may not use the services to violate law or third-party rights, introduce malicious code, probe or bypass security controls, disrupt the service, access another customer’s information, scrape the service at unreasonable volume, or submit content you lack authority to process. Automated access requires written authorization or an enabled customer API feature.

Customer content and confidentiality

You retain your rights in content you submit. You grant EdgePoint Strategy a limited right to host, transmit, reproduce, and process that content only as needed to provide, secure, support, and improve the contracted service. You are responsible for obtaining required permissions and for applying your organization’s information-handling rules before submission.

Confidentiality obligations in a signed agreement remain controlling. These public terms do not expand any right to use customer confidential information.

AI-assisted results

Some platform features use artificial intelligence. Outputs can be incomplete, inaccurate, or unsuitable for a particular decision. They are decision-support materials, not legal advice, an audit opinion, a security certification, or a substitute for qualified professional review. You are responsible for reviewing outputs before relying on or distributing them.

Intellectual property

EdgePoint Strategy and its licensors retain rights in the website, platform, software, branding, templates, and general methods. Rights in custom software and engagement deliverables are defined by the applicable signed agreement. Feedback may be used to improve the services without an obligation to compensate the person providing it, provided it does not disclose customer confidential information.

Third-party services

The services depend on third-party hosting, communications, authentication, and AI providers. Their availability and data practices can affect the service. Links to third-party sites are provided for convenience and do not constitute an endorsement.

Availability, warranties, and liability

Unless a signed agreement states otherwise, the website and platform are provided on an “as available” basis. To the extent permitted by law, EdgePoint Strategy disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement.

To the extent permitted by law, EdgePoint Strategy will not be liable under these public terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Any different warranty, service level, remedy, or liability allocation must appear in a signed agreement.

Suspension, termination, and changes

We may restrict or suspend access reasonably necessary to protect the service, customers, or other people; address misuse; or comply with law. Customers may request account closure through their authorized representative. We may update these terms, and the date at the top identifies the current version.
